Revision as of 19:27, 19 January 2020

Issues

Issue 1: Confirmation of the Results and Outcomes of the January 2020 Executive Committee

  • Recognizing that the January 2020 Executive Committee will not conclude until the end of the month, this serves to confirm the existing progress, results, and outcomes, and implied acquiescence of any additional product. Specific concerns or reservations on any potential future product output must be registered with the Chair.
  • The options are to either Approve or Reject the motion.

Issue 2: Opening of the Share Market to the World

  • Pursuant to the December 2019 Board Meeting, the Board restricted access to the Share Market to individuals who are in possession of shares. This resolution provides for opening the Market to all nations, except any nations subsequently restricted by ratification of the Executive Committee. Any restrictions by the Executive Committee may be appealed to the full Board at a regular session.
  • The options are to open access to the market or keep the market restrictions in place.

Issue 3: of the Existing Share Price Cap

  • Pursuant to the December 2019 Board Meeting, the Board imposed a maximum price for transferring shares at a price of $600 per share. This resolution provides for maintaining, raising, or eliminating this share price cap altogether.
  • The options are to keep the share cap at $600 per share, raise it to either $750 or $1000 per share, or remove the restrictions altogether.

Issue 4: Non-Binding Recommendation to the Management Team regarding Investments

  • The Executive Committee, including the Management Team, would like the recommendation of the Board regarding the expected influx of cash from the newly implemented Savings Accounts and Bonds. While this will not bind or otherwise limit the Executive Committee or the Management Team, this resolution serves to inform the Executive Committee and Management Team as to the wishes of the Board.
  • The options are to recommend either $1 billion, $2 billion, or $5 billion in total investment.

Issue 5: Non-Binding Recommendation to the Management Team regarding Lending Minimums

  • The Executive Committee, including the Management Team, would like the recommendation of the Board regarding implementing a minimum floor for new Loans. While this will not bind or otherwise limit the Executive Committee or the Management Team, this resolution serves to inform the Executive Committee and Management Team as to the wishes of the Board.
  • The options are to set a minimum at either $30 or $50 million, or to recommend no minimum whatsoever.

Issue 6: Confirm Lucianus to the Steering Committee for the February 2020 Term

  • Lucianus was elected to the Steering Committee, which constitutes the Board’s representation on the Executive Committee, at the December 2019 Special Session of the Board. He has served on the January 2020 Executive Committee, and is standing to be re-appointed to the Steering Committee for the February 2020 Executive Committee.
  • The options are either to confirm or reject the reappointment.

Issue 7: Confirm suckmaplonker to the Steering Committee for the February 2020 Term

  • suckmaplonker was elected to the Steering Committee, which constitutes the Board’s representation on the Executive Committee, at the December 2019 Special Session of the Board. He has served on the January 2020 Executive Committee, and is standing to be re-appointed to the Steering Committee for the February 2020 Executive Committee.
  • The options are either to confirm or reject the reappointment.

Issue 8: Confirm Cosimo de medici to the Steering Committee for the February 2020 Term

  • Cosimo de medici was elected to the Steering Committee, which constitutes the Board’s representation on the Executive Committee, at the December 2019 Special Session of the Board. He has served on the January 2020 Executive Committee, and is standing to be re-appointed to the Steering Committee for the February 2020 Executive Committee.
  • The options are either to confirm or reject the reappointment.

Issue 9: Resolution of Steering Committee Supremacy

  • The Steering Committee serves as the Representation of the Board of Directors in all Executive matters. The purpose of the Executive Committee is to unify the authority of the Steering Committee with that of the Executive Leadership, to streamline the management of the Bank. In situations where there is definite disagreement, the Board, as owners with a fiscal incentive in the success of the Bank, designates the Steering Committee to have a higher authority over the Executive Leadership. This authority may only be exercised by unanimous consent of the Steering Committee and the Chair of the Board, and the Chair must also call a Special Session of the Board to ratify the decision. This authority only exists as a short-term stopgap to implement the decision while awaiting confirmation from the Board.
  • The options are to either Approve or Reject the motion.
